Terms of Service

1. Acceptance of Terms

By accessing or using iSocialize AI ("the Service"), operated by Transcend Technologies, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notice. Your continued use after changes are posted constitutes acceptance.

2. Description of Service

iSocialize AI is an AI-powered platform that helps users create social media content — including text posts, captions, hashtags, and AI-generated images — for platforms including TikTok, Instagram, Facebook, LinkedIn, X/Twitter, YouTube, Pinterest, and iSocialize Marketplace. The Service uses Google's Gemini AI models for text and image generation. Video generation features (powered by third-party providers) may be available when enabled.

3. Account Registration and Security

3.1 Eligibility

• You must be at least 13 years old to use the Service (16 in the EU)
• You must provide accurate and complete information during registration
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized account access at info@isocialize.me

3.2 Account Responsibilities

You are solely responsible for all activity that occurs under your account. You may not share credentials or allow others to access your account. We reserve the right to suspend accounts involved in abuse, fraud, or policy violations.

4. Subscription Plans and Payment

4.1 Free Tier

Unregistered guests may try 2 free prompts. Registered free-tier users receive 5 prompts per day and 2 AI image generations per day. Usage resets at midnight UTC.

4.2 iSocialize Ai Creator — $9.99/month

• 300 text prompts per calendar month
• 15 AI image generations per calendar month
• Access to all content modes and platforms

4.3 iSocialize Ai Pro — $19.99/month

• 1,000 text prompts per calendar month
• 100 AI image generations per calendar month
• Watermark-free AI-generated images
• Access to all content modes and platforms
• Priority support

4.4 Billing and Payment

• Web and Android subscriptions and credit purchases are processed by Stripe
• iOS subscriptions and credit purchases are processed through Apple In-App Purchase and managed by Apple
• Subscriptions automatically renew at the end of each billing period unless cancelled
• We reserve the right to modify pricing with 30 days' notice

4.5 Cancellation

You may cancel at any time. Access to paid features continues until the end of the current billing period. For iOS subscriptions: manage cancellation in iPhone Settings → [Your Name] → Subscriptions. For web/Android: use the billing portal in your Dashboard. No refunds are issued for partial billing periods.

4.6 Usage Limits and Rate Limiting

All plans are subject to a rate limit of 10 requests per minute to ensure fair service for all users. Exceeding this limit will result in a temporary hold. Repeated excessive usage may result in account review.

5. Acceptable Use Policy

You agree NOT to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Create content that infringes on the intellectual property rights of others
• Generate spam, phishing content, scams, or malicious material
• Create content that promotes violence, discrimination, or hate speech
• Impersonate any person or entity
• Attempt to gain unauthorized access to the Service or related systems
• Use automated scripts or bots to access the Service in bulk
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent usage limits, billing, or account restrictions

We employ automated content filtering. Prompts containing certain keywords are blocked and logged. Repeated policy violations may result in account suspension or termination.

6. AI-Generated Content

6.1 Your Responsibility

All AI-generated content (text, images, and video) is provided as a creative starting point. You are solely responsible for reviewing, editing, and verifying content before publication. We make no guarantees regarding accuracy, completeness, or fitness for any particular purpose.

6.2 Ownership

You retain ownership of content you generate using the Service. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to store and process your prompts and outputs solely for the purpose of operating and improving the Service. We do not use your individual content to train AI models without explicit consent.

6.3 Image Watermarks

AI-generated images produced under the Free plan include an iSocialize watermark. Paid subscribers (iSocialize Ai Creator and iSocialize Ai Pro) receive watermark-free images.

7. Intellectual Property Rights

The Service, including its code, design, branding, logos, and proprietary features, is owned by Transcend Technologies, Inc. and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership of Service IP to you.

8. Service Availability

We strive to provide reliable, uninterrupted service but do not guarantee uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including third-party AI provider outages). We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where practicable.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI-GENERATED CONTENT, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRANSCEND TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Transcend Technologies, Inc. and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your generated content, or your violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or extended inactivity. Upon termination, your right to use the Service ceases immediately. Account data is retained for up to 30 days following termination before deletion, unless otherwise required by law.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved informally by contacting us at info@isocialize.me. Unresolved disputes shall be submitted to binding arbitration under the American Arbitration Association rules, except where prohibited by applicable law. You waive any right to a jury trial or class action.

14. Third-Party Services

The Service integrates with third-party services including Google (Gemini AI, Analytics, OAuth), Stripe, Apple (IAP, Sign in with Apple), Supabase, and video generation providers. Your use of these integrations is subject to each provider's own terms and privacy policies. We are not responsible for the practices of these third parties.

15. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with our Privacy Policy and EULA, constitute the entire agreement between you and Transcend Technologies, Inc. regarding the Service.
