End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Transcend Technologies, Inc., DBA iSocialize ("we," "us," or "our"), governing your use of the iSocialize AI application ("App") and associated services ("Service"), available on web at ai.isocialize.me and on iOS via the Apple App Store.

By downloading, installing, or using the App, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not download or use the App.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on any Apple-branded device that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

2. Subscription Plans and In-App Purchases

The App offers the following plans:

• Free: 5 text prompts/day, 2 image generations/day — no charge
• iSocialize Ai Creator: $9.99/month — 300 prompts/month, 15 image generations/month
• iSocialize Ai Pro: $19.99/month — 1,000 prompts/month, 100 image generations/month, no watermarks

On iOS: Subscriptions and credit pack purchases are processed through Apple In-App Purchase. Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours prior to the end of the current period. You may manage subscriptions and turn off auto-renewal in your Account Settings on the App Store after purchase.

On Web/Android: Payments are processed by Stripe.

3. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit harmful, offensive, threatening, or inappropriate content
• Generate spam, malware, phishing content, or deceptive material
• Attempt to gain unauthorized access to the Service or related systems
• Resell, redistribute, or sublicense the Service without authorization
• Circumvent usage limits, billing, or account restrictions
• Use automated tools or bots to access the Service in bulk

4. AI-Generated Content

• Text, images, and video generated by the Service are provided "as is" and may contain inaccuracies, biases, or errors
• You are solely responsible for reviewing and verifying all AI-generated content before publication or use
• We do not guarantee the accuracy, completeness, or reliability of AI outputs
• You retain ownership of content you create using the Service, subject to our right to store and process it to operate the Service
• AI-generated images on the Free plan include a watermark; paid plan (iSocialize Ai Creator and iSocialize Ai Pro) images are watermark-free

5. Intellectual Property

The App, including its code, design, branding, features, and functionality, is owned by Transcend Technologies, Inc. and is protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works of the App without our express written permission.

6. Privacy and Data Collection

Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into this Agreement. We collect certain data including your email address, usage activity, IP address (for security), and payment history. Your prompts are transmitted to Google's Gemini API and/or third-party video generation providers to produce AI outputs. We do not sell your personal data.

7. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason including breach of this Agreement, fraudulent activity, or extended inactivity. Upon termination, your right to use the App will immediately cease and we may delete your account data within 30 days.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF AI-GENERATED CONTENT, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM HARMFUL COMPONENTS.

9. Limitation of Liability

IN NO EVENT SHALL TRANSCEND TECHNOLOGIES, INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Disputes shall be resolved by binding arbitration under the American Arbitration Association rules, except where prohibited by applicable law.

11. Apple-Specific Terms

The following terms apply specifically to your use of the iOS App downloaded from the Apple App Store:

• Parties: This Agreement is between you and Transcend Technologies, Inc. only — not Apple. Apple is not a party to this Agreement.
• Scope of License: The license granted is limited to use on Apple-branded devices owned or controlled by you, consistent with the App Store Terms of Service.
• Maintenance and Support: Transcend Technologies, Inc. is solely responsible for providing maintenance and support for the App. Apple has no obligation to provide any such services.
• Warranty: Transcend Technologies, Inc. is solely responsible for any product warranties, whether express or implied. Apple has no warranty obligation with respect to the App.
• Product Liability: Transcend Technologies, Inc., not Apple, is responsible for addressing any product liability claims or claims that the App fails to conform to applicable legal or regulatory requirements.
• Intellectual Property Claims: Transcend Technologies, Inc., not Apple, is responsible for investigating, defending, settling, and discharging any third-party intellectual property infringement claims related to the App.
• Legal Compliance: You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a terrorist-supporting country, and that you are not listed on any U.S. Government prohibited or restricted party list.
• Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

12. Changes to This Agreement

We reserve the right to modify this Agreement at any time. Material changes will be communicated via the App or by email. Your continued use of the Service after such modifications constitutes your acceptance of the updated Agreement.
